Statutory audit (commissariat aux comptes)

Audit of the annual financial statements, general report and special report to the general meeting, legal alert procedures, attendance at board and shareholders' meetings; appointment for a three-year term in accordance with Tunisian company law.

Group reporting packages

Audit or review of the reporting package sent to the parent company, under the group auditor's instructions (ISA, materiality, timetable), in English; direct dialogue with the group engagement team.

Contractual audit and limited review

Audit or review of annual or interim accounts at the request of shareholders, lenders, investors or management; opinion or review conclusion in English or French.

Agreed-upon procedures and special reports

Procedures agreed with the client (revenue, inventories, covenants, royalties, grant expenditure), reports of factual findings; certifications requested by banks, administrations or partners.

Audit of donor-funded projects

Audit of project financial statements and statements of expenditure for projects financed by the World Bank, development banks, the European Union or bilateral agencies, in line with the funding agreements.

Internal control and risk

Assessment of internal control, mapping of risks, recommendations and follow-up; preparation for the first statutory audit; support to audit committees.

How we audit

1. Acceptance and planning. Independence checks, understanding of the entity and its risks, materiality, audit plan shared with management and, where relevant, the group auditor.

2. Fieldwork. Tests of controls and substantive procedures, confirmations, inventory attendance, review of estimates, communication with the group auditor according to its instructions.

3. Conclusion. Discussion of adjustments with management, closing meeting, opinion, reports to the general meeting and to the group.

4. Follow-up. Management letter with practical recommendations, follow-up of prior-year points, availability of the partner throughout the year.

Frequently asked questions

When must a company in Tunisia appoint a statutory auditor?

Public limited companies (SA) must always appoint one. Other companies are subject when they exceed legal thresholds (balance sheet total, turnover, headcount) or when they are regulated or publicly funded. We check your situation free of charge; see also our article on statutory audit thresholds.

Can the same firm keep our books and audit our accounts?

No. The statutory auditor must be independent and cannot keep the books of the company it certifies. If we keep your books, we help you appoint an independent auditor; if we audit you, we do not keep your books.

Do you report to our group auditor in English?

Yes. We work under the group auditor's instructions (ISA, materiality, timetable), exchange directly with the group engagement team and deliver the reporting package and the clearance in English.

How long is a statutory auditor appointed for?

For three financial years under Tunisian company law, renewable within the limits set by the rules on auditor rotation.
